TERMS AND CONDITIONS

1. Introduction
These Terms and Conditions govern access to and use of the website located at www.rentaltoolkit.co.za (“the Website”), as well as the purchase, downloading and use of any documents, templates, checklists, spreadsheets, guides, forms, information or other digital products made available through the Website.

In these Terms and Conditions:

“Rental Toolkit”, “we”, “us” and “our” refer to Rental Toolkit (Pty) Ltd.

“Customer”, “you” and “your” refer to any person who accesses the Website or purchases or uses a Product.

“Product” means any digital document, template, form, checklist, spreadsheet, guide, information resource or other downloadable item sold or supplied through the Website.

“Order” means an order submitted through the Website for one or more Products.
By accessing the Website, creating an account, placing an Order or downloading or using a Product, you agree to be bound by these Terms and Conditions.
If you do not agree to these Terms and Conditions, you must not use the Website or purchase, download or use any Product.
2. South African business and governing legislation
Rental Toolkit is a South African business.
These Terms and Conditions are subject to applicable South African law, including, where applicable:

the Consumer Protection Act 68 of 2008;

the Electronic Communications and Transactions Act 25 of 2002;
-
the Protection of Personal Information Act 4 of 2013; and
-
other applicable legislation and common-law principles.
Nothing in these Terms and Conditions is intended to exclude, restrict or limit any right or remedy that cannot lawfully be excluded, restricted or limited.
Where any provision of these Terms and Conditions conflicts with a mandatory provision of applicable law, the mandatory provision will prevail.
3. Nature of Rental Toolkit’s Products
Rental Toolkit provides downloadable resources relating primarily to South African residential rental administration and rental procedures.
Products may include:

lease-related documents;
-
notices and letters;
-
inspection forms;
-
checklists;
-
rental administration forms;
-
spreadsheets;
-
procedural guides;
-
Rental Housing Tribunal resources;
-
landlord documents;
-
tenant documents; and
-
related educational material.
Each Product is sold individually unless the applicable product page expressly states otherwise.
The precise contents, format, intended user and intended purpose of each Product are described on its product page.
4. Not a law firm or legal representation service
Rental Toolkit is not a law firm and does not provide legal representation.
Unless expressly stated otherwise, purchasing or using a Product does not create:

an attorney-client relationship;
-
an estate-agency relationship;
-
a property-management relationship;
-
an advisory relationship; or
-
any fiduciary or professional-services relationship between you and Rental Toolkit.
No communication with Rental Toolkit should be interpreted as creating such a relationship.
5. General information and no individual legal advice
The Products and information on the Website are intended to provide general educational information, practical rental-administration resources and standardised document formats.
They are not legal advice tailored to your specific matter.
Rental disputes and legal consequences may depend on factors including:

the wording of the applicable lease;
-
the identity and legal status of the parties;
-
whether the property is residential or commercial;
-
the facts of the dispute;
-
relevant correspondence and evidence;
-
applicable notice periods;
-
the Consumer Protection Act;
-
the Rental Housing Act;
-
provincial procedures;
-
court or Tribunal rules; and
-
changes in legislation or case law.
You remain responsible for deciding whether a Product is suitable for your circumstances.
You should obtain advice from a suitably qualified South African attorney where:

your matter is contested;
-
court or eviction proceedings may follow;
-
a significant amount of money is involved;
-
a legal deadline applies;
-
the lease or facts are unusual;
-
you are uncertain about your rights or obligations; or
-
the Product does not clearly match your circumstances.
6. Legal review statements
Certain Products may state that they have been reviewed by a South African attorney or other suitably qualified professional.
Such a statement means only that the stated version of the Product was reviewed as at the review date displayed on the product page or Product itself.
It does not mean that:

the Product is suitable for every transaction or dispute;
-
the Product constitutes advice regarding your circumstances;
-
a particular outcome is guaranteed;
-
the reviewer represents you; or
-
the Product will remain legally current indefinitely.
No Product should be regarded as legally reviewed unless that statement appears expressly on the relevant product page or Product.
7. Customer responsibility when selecting a Product
You must read the full product description before purchasing.
You are responsible for confirming that:

the Product is intended for the correct party, such as a landlord, tenant, rental agent or property manager;
-
the Product relates to the correct type of property or transaction;
-
the Product is suitable for residential rather than commercial use, where applicable;
-
the Product relates to the correct type of breach, notice, inspection or procedure;
-
you have selected the correct language and file format; and
-
your device has software capable of opening and editing the Product.
Product titles may be specific. For example, a document intended for unpaid residential rent may not be suitable for another type of breach.
Rental Toolkit is not responsible for a Customer purchasing the wrong Product where the intended user, subject and purpose were reasonably described on the product page.
8. No guaranteed outcome
Rental Toolkit does not guarantee that the purchase or use of a Product will:
-
resolve a dispute;
-
secure payment;
-
result in cancellation of a lease;
-
result in an eviction;
-
succeed before a Rental Housing Tribunal or court;
-
result in the refund or recovery of a deposit;
-
prevent legal proceedings;
-
produce a settlement;
-
comply with a particular lease without adaptation; or
-
achieve any other specific result.
The outcome of a matter depends on the facts, evidence, conduct of the parties, applicable agreement, applicable law and decisions of the relevant authority.
9. Product formats and software compatibility
Products may be supplied in formats including:
-
PDF;
-
Microsoft Word;
-
Microsoft Excel;
-
ZIP files; or
-
another format specified on the relevant product page.
The available format will be stated on the product page.
You are responsible for ensuring that you have:
-
a compatible device;
-
suitable software;
-
internet access;
-
adequate storage space; and
-
the technical ability to open, save, edit and print the Product.
Rental Toolkit does not guarantee that a Product will be compatible with every device, operating system, software version, mobile application or third-party platform.
Where practical, we may assist with a genuine file-access problem, but we are not obliged to provide general device, software or printing support.
10. Product previews and descriptions
Product previews, screenshots, sample pages and descriptions are provided to help you understand the nature of a Product before purchasing.
A preview may:
-
contain watermarks;
-
omit certain pages;
-
obscure editable content;
-
show only part of the Product; or
-
differ slightly in appearance depending on the software used to open it.
A preview does not grant permission to copy, reproduce or use the Product without purchasing it.
11. Prices
All prices are displayed in South African rand unless otherwise stated.
Prices will state whether value-added tax is included, where applicable.
Rental Toolkit may change a Product’s price at any time. A price change will not affect an Order already accepted and paid for.
The price displayed at checkout at the time the Order is submitted will apply to that Order, subject to the correction of an obvious pricing error.
12. Orders
By placing an Order, you confirm that:
-
the information supplied by you is accurate;
-
you are legally capable of entering into the transaction;
-
you have authority to use the selected payment method;
-
you have reviewed the Product description;
-
you have selected the correct Product, format and language; and
-
you accept these Terms and Conditions.
Submission of an Order does not necessarily mean that the Order has been accepted.
An Order is accepted once:
-
payment has been successfully confirmed; and
-
the download link or Product has been made available to you.
We may reject or cancel an Order where:
-
payment is unsuccessful;
-
fraud or unauthorised payment is suspected;
-
an obvious pricing or product-description error occurred;
-
the Product is unavailable because of a technical problem;
-
the Order appears to involve unlawful activity;
-
the Customer has previously misused our Products; or
-
we are legally required to do so.
Where we cancel a paid Order without supplying the Product, we will process an appropriate refund.
13. Electronic contracting
You agree that Orders, confirmations, invoices, notices, download links and other communications may be concluded or delivered electronically.
Clicking an acceptance box, placing an Order, completing payment or downloading a Product may constitute an electronic acceptance of these Terms and Conditions.
You should retain a copy of:

these Terms and Conditions;
-
your Order confirmation;
-
your payment confirmation;
-
the relevant product description; and
-
your invoice or receipt.
14. Payment
Payments are processed through Shopify and one or more third-party payment providers.
Available payment methods will be displayed at checkout.
Rental Toolkit does not directly store complete payment-card information. Payment information may be processed by Shopify, the applicable payment provider, banking institutions or other authorised payment-processing parties under their own terms and privacy practices.
An Order will ordinarily only be fulfilled after successful payment confirmation.
You remain responsible for any bank charges, payment-provider charges, currency-conversion charges or other charges imposed by your own service providers.
15. Digital delivery
Products are supplied electronically and no physical item will be delivered unless the relevant product page expressly states otherwise.
After successful payment, the Customer will ordinarily receive:
-
an on-screen download option;
-
a download link by email; or
-
access through the Customer’s account.
You must provide a correct and accessible email address.
Rental Toolkit is not responsible for a delay caused by:
-
an incorrect email address supplied by the Customer;
-
a full mailbox;
-
spam or junk-mail filtering;
-
the Customer’s email provider;
-
internet failure;
-
payment-verification delays;
-
third-party platform failure; or
-
circumstances beyond Rental Toolkit’s reasonable control.
If you do not receive the download link after successful payment, you should first check your spam or junk folder and then contact support@rentaltoolkit.co.za with your Order number and proof of payment.
16. Download access and limits
Download links may:
-
expire after a specified period;
-
be restricted to a specified number of downloads;
-
be linked to the purchasing Customer’s email address or account; or
-
be disabled where misuse, sharing or unauthorised distribution is reasonably suspected.
You must download and securely retain the Product within the permitted access period.
Rental Toolkit is not obliged to provide indefinite storage or permanent access to previously purchased Products.
Where reasonably possible, we may restore access for a genuine purchaser, but this is not guaranteed.
17. Personal-use and internal-business-use licence
Unless the product page expressly grants a broader licence, purchasing a Product gives the Customer a limited, non-exclusive, non-transferable and revocable licence to:
-
download the Product;
-
save reasonable backup copies;
-
edit the Product for the Customer’s own legitimate rental matter or internal business use;
-
print reasonable copies for that purpose; and
-
provide a completed copy to the other party, an attorney, a Rental Housing Tribunal, a court, a managing agent or another person directly involved in that specific matter.
Ownership and copyright do not transfer to the Customer.
18. Prohibited use
You may not, without Rental Toolkit’s prior written permission:
-
resell a Product;
-
redistribute a blank or editable Product;
-
upload a Product to another website, shared drive, group, marketplace or document library;
-
share a Product with unrelated third parties;
-
reproduce a Product for commercial resale;
-
offer the Product as your own template;
-
remove copyright, licence or branding notices;
-
publish substantial portions of a Product;
-
create a competing product substantially derived from a Rental Toolkit Product;
-
use a Product to train, populate or improve a commercial template library or artificial-intelligence system;
-
circumvent download limits or access controls; or
-
use the Website or a Product for unlawful, fraudulent or misleading purposes.
A rental agency or property manager purchasing a standard Product may use it internally only to the extent expressly permitted on the product page.
A separate commercial, multi-user or agency licence may be required for repeated use across multiple clients, branches, employees or portfolios.
19. Intellectual property
All rights in and to the Website and Products, including copyright, trade marks, logos, layouts, document wording, graphics, checklists, spreadsheets, compilations, systems and branding, belong to Rental Toolkit or the relevant licensed owner.
The Rental Toolkit name, logo and associated branding may not be used without written permission.
No provision in these Terms and Conditions transfers intellectual-property ownership to the Customer.
Unauthorised reproduction or distribution may result in:
-
suspension of access;
-
withdrawal of the licence;
-
a claim for damages;
-
an interdict;
-
recovery of legal costs; or
-
other lawful remedies.
20. Customer-entered information
Where the Website allows you to enter information into a form, custom field or document-generation tool, you are responsible for ensuring that the information is:
-
accurate;
-
complete;
-
lawful;
-
not misleading;
-
supplied with proper authority; and
-
appropriate for the intended Product.
Rental Toolkit is not responsible for an error, omission or legal consequence arising from incorrect or incomplete information supplied by the Customer.
You must not submit personal information about another person unless you have a lawful basis and appropriate authority to do so.
21. Refunds and digital products
Because Products are digital and may be made available immediately after successful payment, refunds are not automatically available merely because:
-
you changed your mind;
-
you no longer require the Product;
-
you purchased the wrong Product despite an accurate description;
-
you failed to read the product description;
-
you lack compatible software;
-
you expected personalised legal advice; or
-
you downloaded or accessed the Product.
This does not exclude any right you may have under applicable consumer law.
A refund, replacement or other appropriate remedy may be considered where:
-
the wrong Product was supplied;
-
the supplied file is materially defective or corrupted;
-
the Product materially differs from its description;
-
duplicate payment occurred;
-
Rental Toolkit cancelled the Order without supplying the Product; or
-
applicable law requires a remedy.
You must report a technical or supply problem to support@rentaltoolkit.co.za within 7 days after purchase, providing:
-
your full name;
-
Order number;
-
purchase email address;
-
description of the problem; and
-
screenshots or other reasonable evidence where relevant.
We may first attempt to correct the problem, replace the file or restore the download before issuing a refund.
The separate Digital Product Refund Policy forms part of these Terms and Conditions.
22. Cooling-off rights and immediate supply
Any statutory cooling-off right will apply only to the extent required by applicable law.
Where permitted, by requesting or accepting immediate electronic delivery of a Product, you acknowledge that digital supply may begin before the expiry of any otherwise applicable cooling-off period.
Nothing in this clause removes a non-excludable statutory right.
23. Product updates
Rental laws, administrative practices, government forms, Tribunal processes and legal interpretations may change.
A Product is supplied according to the version and review date stated on the Product or product page.
Unless expressly included in the purchase:
-
future updates are not guaranteed;
-
purchasing a Product does not create a subscription;
-
Rental Toolkit is not obliged to monitor your matter;
-
Rental Toolkit is not obliged to notify you of every legal development; and
-
a later version may be sold separately.
Where we voluntarily supply an updated file to previous purchasers, this does not create an obligation to provide future updates.
You should confirm that a Product remains current before relying on it at a later date.
24. Customer modifications
Editable Products may require the Customer to insert details, select alternatives, remove guidance notes or adapt wording.
You are responsible for:
-
checking every inserted detail;
-
removing unused options;
-
confirming dates and amounts;
-
checking the applicable lease;
-
ensuring that notice periods are calculated correctly;
-
ensuring that all parties are properly identified;
-
checking annexures and attachments;
-
obtaining signatures where required; and
-
obtaining legal advice where appropriate.
Rental Toolkit is not responsible for changes made to a Product after delivery.
25. Accuracy and availability
We take reasonable steps to provide clear and useful Products and Website information.
However, subject to applicable law, we do not warrant that:
-
the Website will always be available;
-
every Product will be free from typographical or formatting errors;
-
every external link will remain active;
-
information will always reflect the latest legal development;
-
the Website will be free from interruption or harmful code; or
-
a Product will meet an unstated expectation.
We may correct, update, suspend or remove Website content or Products at any time.
26. Third-party services
The Website may rely on third-party services, including:

Shopify;
-
payment gateways;
-
email-delivery services;
-
file-storage and download services;
-
analytics providers;
-
security providers; and
-
website applications.
Rental Toolkit is not responsible for a third party’s independent acts, omissions, outages or terms, except to the extent that applicable law provides otherwise.
Links to third-party websites are supplied for convenience and do not necessarily imply endorsement.
27. Limitation of liability
Subject to applicable law, Rental Toolkit will not be liable for indirect, consequential, special or punitive loss arising from:
-
use or misuse of a Product;
-
selection of an unsuitable Product;
-
failure to obtain professional advice;
-
incorrect Customer-supplied information;
-
a missed deadline;
-
an unsuccessful dispute, Tribunal matter or legal process;
-
loss of data;
-
loss of income or profit;
-
third-party service interruption;
-
unauthorised sharing of a Product by the Customer; or
-
changes in law or procedure after the Product’s stated review date.
Where Rental Toolkit is found liable and the law permits liability to be limited, Rental Toolkit’s aggregate liability relating to a Product will not exceed the amount actually paid by the Customer for that Product.
This limitation does not apply to liability that cannot lawfully be excluded or limited.
28. Indemnity
To the extent permitted by law, you indemnify Rental Toolkit, its directors, employees and contractors against third-party claims, losses or expenses arising from:
-
your unlawful use of the Website or a Product;
-
your unauthorised reproduction or distribution of a Product;
-
false, unlawful or unauthorised information supplied by you;
-
your infringement of another person’s rights; or
-
material alteration or misuse of a Product.
This indemnity does not apply to the extent that the claim was caused by Rental Toolkit’s unlawful conduct, gross negligence or other liability that cannot lawfully be excluded.
29. Website accounts
Where Customer accounts are available, you are responsible for:
-
maintaining the confidentiality of your password;
-
restricting access to your device and account;
-
supplying accurate account details; and
-
notifying us promptly of suspected unauthorised access.
We may suspend or terminate an account reasonably suspected of fraud, unlawful activity, abusive conduct or infringement of our intellectual-property rights.
30. Acceptable Website use
You may not:

interfere with the Website’s operation;
-
introduce malware or harmful code;
-
attempt unauthorised access;
-
scrape or systematically extract Website content;
-
impersonate another person;
-
submit false payment information;
-
use automated systems to copy Products or content;
-
circumvent security or access controls; or
-
use the Website in a manner that violates applicable law.
31. Reviews and customer content
Where the Website allows reviews, comments or other customer content, you must ensure that the content:

is truthful;
-
relates to your genuine experience;
-
does not disclose confidential or personal information;
-
is not defamatory, threatening or discriminatory;
-
does not infringe intellectual-property rights; and
-
does not contain unlawful or misleading claims.
We may moderate or remove content where reasonably necessary, but we will not manipulate reviews to create a false impression of customer experience.
32. Privacy and personal information
Rental Toolkit processes personal information in accordance with its Privacy Policy and applicable law.
Personal information may be processed for purposes including:

completing Orders;
-
processing payments;
-
delivering Products;
-
issuing invoices;
-
providing customer support;
-
preventing fraud;
-
maintaining business and tax records;
-
improving the Website; and
-
sending marketing communications where lawfully permitted.
The Privacy Policy forms part of these Terms and Conditions.
You may contact support@rentaltoolkit.co.za regarding access, correction, deletion, objection or other privacy-related requests.
33. Marketing communications
Rental Toolkit will only send direct marketing communications in accordance with applicable law.
Where required, you will be given an opportunity to consent to marketing and to unsubscribe from future communications.
Transactional communications concerning an Order, payment, download, security matter or important Product issue are not necessarily marketing communications.
34. Security
Rental Toolkit takes reasonable technical and organisational measures to protect information and digital systems.
However, no internet-based system is completely secure.
You are responsible for:

using secure passwords;
-
protecting downloaded Products;
-
preventing unauthorised access to documents containing personal information;
-
keeping suitable backups; and
-
using appropriate device security.
35. Complaints
A complaint should first be submitted to:

the remedy requested.
We will acknowledge and consider the complaint within a reasonable period.
Nothing prevents a consumer from approaching the National Consumer Commission, a competent consumer body, the Information Regulator or another authority with jurisdiction.
36. Notices and communications
Rental Toolkit may send notices to the email address supplied by you.
You are responsible for keeping your contact details current.
A communication sent by email will be regarded as received when it becomes capable of being retrieved at the designated email address, subject to applicable law and proof to the contrary.

37. Suspension and termination
Rental Toolkit may suspend or terminate your access to the Website, account or Product downloads where there are reasonable grounds to believe that you have:

breached these Terms and Conditions;

infringed intellectual-property rights;
-
engaged in fraud or unlawful conduct;
-
shared Products without permission;
-
abused staff or systems; or
-
created a security risk.
Termination does not affect rights or liabilities that arose before termination.
38. Changes to these Terms and Conditions
Rental Toolkit may amend these Terms and Conditions from time to time to reflect:

changes in law;
-
changes in Products;
-
changes in technology;
-
operational changes; or
-
improvements to our policies.
The revised version will be published on the Website with an updated revision date.
Terms applicable when an Order was placed will ordinarily govern that Order, unless a later change is required by law or expressly accepted by the Customer.
39. Governing law and jurisdiction
These Terms and Conditions are governed by the laws of the Republic of South Africa.
Subject to applicable consumer-protection rights and the jurisdiction of any regulatory body, Tribunal or court prescribed by law, the parties submit to the jurisdiction of the South African courts.
Nothing in this clause prevents either party from approaching a court or statutory body with jurisdiction.
40. Force majeure
Rental Toolkit will not be liable for a delay or failure caused by circumstances beyond its reasonable control, including:

electricity or telecommunications failure;
-
internet outages;
-
cyberattacks;
-
failures of Shopify or payment providers;
-
natural disasters;
-
civil unrest;
-
government action; or
-
other events that could not reasonably have been prevented.
Rental Toolkit will take reasonable steps to restore affected services.
41. Severability
If any provision of these Terms and Conditions is found to be invalid or unenforceable, that provision will be severed or limited to the minimum extent necessary.
The remaining provisions will continue to apply.
42. No waiver
A failure or delay by Rental Toolkit to enforce a right does not constitute a waiver of that right.
A waiver will only be effective if recorded in writing.
43. Entire agreement
These Terms and Conditions, together with the applicable:

product description;
-
Privacy Policy;
-
Digital Product Refund Policy;
-
Delivery and Download Policy; and
-
Legal Information Disclaimer,
constitute the agreement between Rental Toolkit and the Customer concerning the Website and purchase of the Product.
Where there is a conflict, the more specific product description or policy will apply to the extent of that conflict, subject to applicable law.
